KX Supplier Code of Conduct

Our Supplier Code of Conduct defines our expectations of suppliers in the areas outlined below.

To ensure that KX business is conducted ethically, sustainably and within the law, KX expects its suppliers, and encourages the same of their supply chains, to align with the principles outlined in this document. This means as a minimum complying with local laws and regulations and respecting internationally recognized human and labor rights.

Health & Safety

Suppliers must provide a safe and healthy working environment that prevents accidents, injuries, and work-related ill health arising from, connected with, or occurring during the course of work or as a result of their operations.

KX expects all suppliers to comply fully with applicable health and safety legislation. Where industry best practices exceed legal requirements, suppliers are expected to meet those higher standards.

Suppliers operating on KX sites must respect and adhere to KX’s health and safety policies and culture. KX reserves the right to request and review evidence of compliance to ensure these standards are consistently upheld.

Environment

Suppliers are expected to demonstrate a strong commitment to environmental stewardship and sustainable best practices. This includes actively working to reduce resource consumption, greenhouse gas emissions, waste and pollution across their operation and throughout their supply chains. Suppliers should continuously seek opportunities to improve environmental performance and minimize their overall environmental impact.

Anti Bribery

KX is committed to maintaining its established reputation for lawful and ethical behavior and for financial integrity in all aspects of its business.

KX has zero tolerance of corruption, fraud, and criminality (including financial crime), and the giving or receiving of bribes for any purpose in its business and supply chain.

In their dealings with KX, suppliers will avoid all conflicts of interest, and any that do arise are reported to KX immediately.

Modern Slavery & Human Rights

KX has a zero tolerance of modern slavery in all its formas in its own business and supply chains. This means not using forced labor, servitude, slavery, human trafficking, slavery or child labor, and the right to freedom of association and collective bargaining is respected.

KX’s suppliers must not have any form of modern slavery across their business or supply chain.

KX suppliers must comply with the Modern Slavery Act of 2015 and publish modern slavery statements publicly. KX may seek evidence that suppliers are compliant with the Act.

Information Security & Data Protection

Suppliers must align to the published KX Systems Technical Organizational Measures (TOMs) and maintain robust cybersecurity controls to safeguard systems, data, and networks. This includes protecting the privacy of individuals and ensuring the confidentiality, integrity, and availability of all personal and sensitive information.

Suppliers are required to treat all KX information as confidential and must not disclose it without prior written authorization from KX management. This obligation applies during the term of engagement and continues after the expiration or termination of any appointment or contract with KX.

Conflicts of Interest

Suppliers must avoid any interaction with KX employees that may conflict, or appear to conflict, with any employee acting in the best interests of KX.

KX’s suppliers should not employ or otherwise make payments to any KX employees during any business transaction (other than pursuant to the KX contract).

If a supplier is aware of any family relations existing between its employees and KX, or if the supplier is aware of any other relationship which might create a conflict of interest, the supplier must disclose this to KX.

Reporting

Suppliers who believe that a KX employee, or anyone acting on behalf of KX, has engaged in wrongdoing, should report the matter to KX.

The supplier should report any potential violation of this document.
